Information on the website or social media does not constitute medical advice and is not a substitute for an in-person clinical evaluation.
Using the website does not establish a patient–provider relationship.
You become a patient only after completing required clinical consents and participating in a documented visit.
2. Eligibility & Patient Responsibilities
To use our clinical Services, you must:
- Be located in a state where the provider is licensed at the time of the telehealth encounter
- Provide accurate, complete information
- Use your own identity and not impersonate another person
- Maintain updated contact information
- Follow clinical instructions and safety recommendations
- Seek emergency care when appropriate (our Services are not for emergencies)
We reserve the right to decline or discontinue care if you violate these responsibilities, provide false information, or fall outside our clinical scope.
3. No Emergency or Crisis Services
Ambrosia is not an emergency medical, psychiatric, or urgent care provider.
Do not use the website, patient portal, Spruce messaging, or telehealth platforms to seek help for emergencies.
Call 911 or go to the nearest emergency department.
4. Use of Telehealth Platforms
By using our telehealth Services (e.g., Doxy.me, CharmEHR, Spruce), you acknowledge:
- Technology can fail or be interrupted
- Virtual exams have inherent limitations
- We may request you switch to in-person care when clinically appropriate
- You are responsible for ensuring a private, secure environment during visits
- You may not record sessions without written permission
Telehealth is provided only after signing the required Telehealth Consent Form.
5. Communications
You authorize Ambrosia to communicate with you via the methods you approve in your Communication Consent (text, email, voicemail, portal messaging).
You acknowledge:
- Messaging response times are typically 1–2 business days
- Messaging is not suitable for urgent concerns
- Message content becomes part of your medical record
- You must maintain updated communication preferences
Abusive or inappropriate communication may result in termination of Services.
6. Accounts, Scheduling & Patient Portal
When using online scheduling (e.g., Calendly) or the CharmEHR patient portal:
- You must provide accurate identity and contact information
- You agree to follow all scheduling instructions
- Ambrosia may cancel appointments if required forms are incomplete
- You are responsible for reading visit instructions and pre-visit requirements
- You agree not to misuse, disrupt, or interfere with any scheduling system
Use of scheduling systems does not guarantee clinical acceptance or ongoing treatment.
7. Payments, Deposits & Memberships
All payments must comply with the Payment Options, Membership Agreement, and cancellation rules provided to you.
Key points:
- A $50 deposit is required for non-members booking appointments
- Deposits are forfeited for no-shows
- Membership renewals are automated until cancelled
- Membership fees and service fees are non-refundable
- Insurance coverage is not guaranteed
- Pricing may change with notice
Attempts to dispute legitimate charges (e.g., chargebacks) may result in termination of Services and referral of the debt to collections.
8. Medication Policies
Access to prescriptions is based solely on clinician judgment and applicable laws.
Memberships, appointment fees, or online engagement do not guarantee:
- prescriptions
- dose escalations
- refills
- access to compounded products
- continued prescribing
You must complete any required labs, follow-up visits, or monitoring before medication is initiated or continued.
Ambrosia does not control pharmacy pricing, shipping, or supply availability.
9. Intellectual Property
All content on the website or provided digitally—including text, graphics, images, branding, logos, videos, prompts, educational materials, and documents—is the property of Ambrosia or its content creators.
You may not:
- reproduce
- distribute
- modify
- publish
- scrape
- sell
- create derivative works
without written permission.
Fair personal use (saving educational materials for your own reference) is permitted.
10. Prohibited Conduct
You agree not to:
- Attempt unauthorized access to any Ambrosia systems
- Use the website or telehealth platforms for spam, harassment, or abuse
- Record interactions without written consent

- Upload harmful code or disrupt digital services

13. Disclaimer of Warranties
All Services are provided “as is” without guarantees of:
- outcomes
- continuous availability
- error-free operation
- weight-loss results
- aesthetic results
- prevention or cure of disease
Healthcare inherently involves risk, and no outcomes can be guaranteed.
14. Limitation of Liability
To the fullest extent permitted by law, Ambrosia is not liable for:
- indirect, incidental, or consequential damages
- loss of data
- delays in communication
- issues caused by third-party platforms
- patient misuse of educational information
- failure to follow clinical recommendations
- unauthorized access resulting from user negligence
Your sole remedy is to discontinue use of the Services.
15. Dispute Resolution & Governing Law
These Terms are governed by the laws of the State of New Mexico.
Any dispute arising from the use of Ambrosia Services will be:
- Resolved informally first
- Then resolved through mediation in New Mexico
- If unresolved, settled through binding arbitration in New Mexico
You waive the right to a jury trial, class action, or consolidated claims.
